1Acceptance of Terms

By accessing or using the Services, you agree to these Terms.

2Services

Vaaya provides enterprise AI, agentic workflow automation, orchestration, analytics, and related software services.

3Agent Authorization

Customers may configure AI agents to retrieve information, execute workflows, call APIs, and interact with connected systems.

Actions performed within Customer-authorized environments are deemed authorized by Customer.

4Customer Responsibilities

Customers are responsible for:

• User access management
• Governance controls
• Human review processes
• Regulatory compliance
• Validation of AI outputs

5AI System Limitations

AI systems may produce inaccurate, incomplete, or unexpected results.

Customers must independently validate outputs before relying on them.

6High-Risk Activities

The Services shall not be used as the sole basis for:

• Credit decisions
• Insurance underwriting
• Claims adjudication
• Securities trading
• Legal determinations

without appropriate human oversight.

7Customer Data

Customers retain ownership of Customer Data.

8Generated Outputs

Subject to applicable law, Customers own outputs generated specifically for them. Vaaya retains ownership of its platform, models, software, workflows, and intellectual property.

9Third-Party Models and Providers

The Services may depend on third-party model providers, cloud providers, and infrastructure providers.

Vaaya does not guarantee continued availability of any specific third-party service.

10Service Credits and On-Chain Wallets

Vaaya may issue promotional service credits, including as a balance in a blockchain wallet that Vaaya provisions and operates on the Customer's behalf to settle service calls (for example, USDC on the Base network).

Vaaya-provisioned wallets are operated exclusively by Vaaya: private keys are held by Vaaya's custody provider, are never disclosed to the Customer, and no withdrawal, transfer, or send capability is offered. Wallet balances are spendable only on the Services, have no cash value, are non-refundable, and are not a deposit, stored-value, or money-transmission account.

Do not send funds to a Vaaya-provisioned wallet address. Unsolicited deposits are not credited to your account and may be unrecoverable.

11Regulatory Responsibility

Customers remain responsible for compliance with applicable banking, insurance, securities, privacy, AML, KYC, and related regulations.

12Disclaimer of Warranties

The Services are provided "as is" and "as available."

13Limitation of Liability

To the maximum extent permitted by law, Vaaya shall not be liable for indirect, consequential, special, exemplary, or punitive damages.

14Indemnification

Customer agrees to indemnify Vaaya against claims arising from Customer Data, Customer instructions, misuse, or violations of law.

15Force Majeure

Vaaya is not responsible for delays or failures beyond its reasonable control.

16Class Action Waiver

Disputes shall be brought only on an individual basis to the extent permitted by law.

17Arbitration

Disputes shall be resolved through binding arbitration except where prohibited by law.

18Governing Law

State of Delaware, United States.
